New England Connect USA’s End User License Agreement

Note: This policy accompanies New England Connect LLC’s Terms and Conditions, Privacy Policy, End User License Agreement, Returns and Refunds Policy, and other policies found in the “Policies” area.

Welcome to the collection of websites operated by New England Connect LLC, referred to collectively as “The NE6 Platform.” This includes:

By clicking the “I Agree” button at signup, you consent to be bound by the terms and conditions outlined in this End User License Agreement (the “Agreement”). If you do not agree with the terms and conditions of this Agreement, do not click the “I Agree” button and do not download or use the Application.

Definitions

  • Application: The software program provided by New England Connect LLC to be used on mobile devices, desktops, or any other compatible devices.
  • Agreement: This End User License Agreement, which sets forth the terms and conditions for using the Application.
  • License: The limited, non-exclusive, non-transferable, and revocable right granted to you to use the Application.
  • You: The individual or entity who downloads, installs, or uses the Application.
  • New England Connect LLC: The company providing the Application and holding all rights to modify or terminate this Agreement.
  • Content: All text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, and computer code, including but not limited to the design, structure, selection, coordination, expression, and arrangement of such content.
  • User: Any person who accesses or uses the Application.
  • Buyer: A user who purchases products or services via the Application.
  • Seller: A user or entity who lists products or services for sale via the Application.
  • Vendor: A user or entity who offers products or services for sale, including digital and physical items, through the Application.
  • Advertiser: A user or entity who promotes products, services, or events through advertisements on the Application.
  • Establishment and Event Lister: A user or entity who lists businesses, events, or other establishments on the Application.
  • Social User: A user who creates and participates in social groups, posts comments, and interacts with other users through the social features of the Application.
  • Personal Data: Information that can be used to identify an individual, either alone or in conjunction with other information.
  • Account: The user profile created to access certain features of the Application.
  • Service: Any functionality provided by the Application.
  • Scam: A deceptive scheme or trick used to cheat someone out of something, especially money.
  • Scammer: A person or entity engaging in fraudulent activities or scams.
  • Scammed: The state of being deceived or cheated through fraudulent activities.
  • Chargebacks: The return of funds to the payer of a transaction, typically initiated by the payer’s bank or credit card issuer.
  • Refunds: The return of money to a payer after a transaction has been completed.
  • Forfeiture of Funds: The loss of funds in both of the user’s NE6 Wallets as a consequence of engaging in prohibited activities or violating the Agreement.

License

New England Connect LLC grants you a limited, non-exclusive, non-transferable, and revocable license to download, install, and utilize the Application solely for personal, non-commercial purposes, in strict compliance with the provisions of this Agreement.

User Responsibilities

As a user of the Application, you agree to:

  • Compliance: Ensure that your use of the Application complies with all applicable laws and regulations.
  • Account Security: Maintain the confidentiality of your account information, including your username and password. You are responsible for all activities that occur under your account.
  • Accurate Information: Provide accurate and current personal information for your account.
  • Respect for Others: Use the Application in a manner that does not violate the rights of others, including intellectual property rights.
  • Security Measures: Immediately notify New England Connect LLC of any unauthorized use of your account or any other breach of security.

Prohibited Uses

You agree not to:

  • Disruptive Activities: Use the Application in any manner that could disable, overburden, damage, or impair the Application or interfere with any other party’s use of the Application.
  • Unauthorized Access: Use any robot, spider, or other automatic device, process, or means to access the Application for any purpose, including monitoring or copying any of the material on the Application.
  • Malicious Activities: Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
  • Security Breach: Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Application, the server on which the Application is stored, or any server, computer, or database connected to the Application.
  • Reverse Engineering: Reverse engineer, decompile, or disassemble any part of the Application.
  • Modification of Notices: Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices from copies of materials from the Application.

Buyer Responsibilities

As a buyer, you agree to:

  • Accurate Information: Provide accurate and up-to-date personal information for the purpose of processing transactions.
  • Review Terms: Carefully read and understand the terms and conditions of the products or services before making a purchase.
  • Adhere to Policies: Follow the seller’s return and refund policies if you wish to return a product or request a refund.
  • Communication: Use the Application’s messaging feature to communicate with sellers regarding any issues or concerns.

Seller and Vendor Responsibilities

As a seller or vendor, you agree to:

  • Accurate Listings: Provide accurate descriptions, prices, and images of the products or services you offer.
  • Availability: Ensure that the products or services listed are available and in stock.
  • Transaction Handling: Process transactions, refunds, and returns promptly and in accordance with the stated policies.
  • Prompt Communication: Respond to buyer inquiries and resolve any issues in a timely manner.
  • Advertising Compliance: Ensure that all advertisements comply with applicable laws and platform guidelines.

Advertiser Responsibilities

As an advertiser, you agree to:

  • Legal Compliance: Ensure that all advertisements comply with applicable laws and regulations.
  • Truthful Advertising: Create advertisements that accurately represent the products or services being promoted.
  • Content Guidelines: Submit advertisements for review to ensure they meet the content standards set by the platform.
  • Transparency: Clearly disclose sponsored content and affiliate relationships in advertisements.

Establishment and Event Lister Responsibilities

As an establishment and event lister, you agree to:

  • Accurate Information: Provide up-to-date and accurate information about the listed establishment or event.
  • Legal Compliance: Ensure that all necessary permits and licenses are obtained for events and establishments.
  • Prompt Responses: Respond promptly to inquiries from users regarding the listed establishment or event.
  • Update Listings: Update listings as necessary to reflect any changes or cancellations.

Social User Responsibilities

As a social user, you agree to:

  • Respectful Interaction: Create and participate in groups, post comments, and interact with other users in a respectful and lawful manner.
  • Appropriate Content: Avoid posting content that is offensive, defamatory, or violates any laws or the rights of others.
  • Report Misconduct: Report any inappropriate content or behavior to New England Connect LLC for review and action.
  • Follow Community Guidelines: Adhere to the community guidelines set forth by New England Connect LLC.

Prohibition of Scams

New England Connect LLC strictly prohibits any form of scam, including but not limited to advertising, crypto, financial, identity, or other fraudulent scams. Any user found to be running a scam or part of a scam will be immediately terminated, blocked, and banned from the platform. All funds in both the user’s NE6 Wallets will be forfeited. The NE6 Wallets are divided into NE6 Directory Wallet for transactions on New England Connect and NE6 Vendor Marketplace Wallet for transactions on New England Connect Marketplace.

New England Connect LLC reserves the right to charge the scammer for any incurred losses, including hardship. Any user found to be part of a scam will be responsible for all legal fees related to any legal action taken by New England Connect LLC or any users scammed by the scammer on our platform. Refer to our Scam Invoice Policy for more details on the consequences and processes related to scams.

Chargebacks and Refunds

  • Chargebacks: New England Connect LLC reserves the right to perform automatic chargebacks and refunds to users who have been scammed. This applies to all transactions processed through PayPal and Stripe. Given these charges are processed through New England Connect LLC’s merchant and payment processors, if funds are not recovered from the terminated user’s NE6 Wallets, New England Connect LLC will issue an invoice for the owed funds and bill the terminated user.
  • Invoice Payment: The terminated user is obligated to pay the invoice immediately upon issue. As an undeserved courtesy, New England Connect LLC will allow a grace period of no more than 60 days from the date of invoice issuance to make full payment. Users can choose to set up a payment plan with New England Connect LLC if they cannot pay the invoice in full immediately.
  • Interest and Fees: Interest at a daily compounded rate of 0.2630136986301% will accrue monthly at 8% (or the maximum rate allowed by law) if the invoice isaccrued and paid within 60 days. On the 61st day, all accrued interest and a $50 late fee will be added to the principal balance. The late fee will continue monthly until the invoice is paid. If a good faith effort is made to pay a minimum of 5% monthly on the total principal, no $50 late fee will be charged, but interest will continue to accrue. If an invoice remains unpaid after 365 calendar days, New England Connect LLC reserves the right to sell the debt to a collection agency.

Tax Compliance

Any user with $600 or more worth of sales in a calendar year is required to fill out a 1099-K form. This necessitates providing New England Connect LLC with their Employer ID or Social Security Number, as required by law for tax and reporting purposes. Any funds over $600 will not be paid out unless the 1099-K form is completed.

Modifications to Application

New England Connect LLC reserves the right to modify, suspend, or discontinue, either temporarily or permanently, the Application or any service associated with it. Such actions may be taken with or without prior notice and without liability to you.

Terms and Termination

This Agreement will remain in effect until terminated by either you or New England Connect LLC. New England Connect LLC, at its sole discretion, reserves the right to suspend or terminate this Agreement at any time, with or without prior notice, if you fail to comply with any of its provisions.

You may terminate this Agreement by uninstalling the Application and deleting all copies from your devices. Upon termination, you must discontinue all usage of the Application and delete all copies from your devices.

Severability

If any provision of this Agreement is found to be unenforceable or invalid, such provision will be modified and interpreted to the fullest extent possible under applicable law to achieve the objectives of that provision. The remaining provisions shall continue in full force and effect.

Amendments to This Agreement

New England Connect LLC retains the exclusive right to modify or replace this Agreement at any time, at its sole discretion. In cases of significant revisions, we will provide notice of before the new terms take effect. What constitutes a significant change will be determined at our sole discretion.
